API Terms of Use

COMPASSION INTERNATIONAL, INC.

1. Acceptance of Terms

(i) Compassion International, Inc. ("CI", "us" or "our") has developed a suite of application programming interface rules and specifications (the "APIs") that allow you to develop applications using content provided by CI ("API Content") for non-commercial purposes. These terms and conditions apply to your use of the APIs and API Content for non-commercial purposes (the "API Terms"). You may not exercise any of the rights granted to you in Section 2 below in any manner that is primarily intended for or directed toward commercial advantage or private monetary compensation.

The API Terms together with the Compassion.com website Privacy and Conditions of Use ("Terms of Use") located at http://developer.compassion.com apply whenever you access or use the APIs or API Content, on any device and by any means. By registering for an API Key you agree to be bound by these API Terms.

(ii) We may update the API Terms from time to time. Your continued access to or use of the APIs or API Content is deemed to be your acceptance of any changes to the API Terms. In the event of any inconsistency between these API Terms and the Terms of Use, the API Terms take precedence.

2. License to use APIs and API Content

(i) You may access the APIs and API Content at http://developer.compassion.com (the "API Site"). Subject to your compliance with these API Terms, we grant you a non-exclusive, non-transferable, non-commercial limited license to:

  • Access and use the APIs and API Content solely on a non-commercial basis: i) to develop, test, display, distribute and execute your application, ii) to access and display in your application the API Content, iii) to allow others to access your application for their personal, non-commercial use only, and iv) to make API Content available to your website's end users for their personal, non-commercial use only.
  • Use the API Content as a basis for analysis and comparison.
  • Use our registered and unregistered trademarks only as provided to you within the API Content, and only in connection with the API Content, as such use is permitted in these API Terms. All such use shall inure to the benefit of us. You shall immediately cease all such trade mark use upon our request.

(ii) This license is personal to you and your website(s). It extends to the APIs and API Content only. It does not grant you any rights in respect of content or any other IP appearing on any of our websites or in any of our publications.

(iii) All APIs require you to apply for an API key and when doing so you will:

  • Create a single API key per application or service and ensure that such API key accompanies all web service requests originating from that application or service. To apply for an API key, please register on the CI developer's site at http://developer.compassion.com.
  • Provide accurate and complete identification, contact, and other information required as part of the API key registration process and permit us to use such information for the purpose of providing, improving and developing our service.
  • Comply with all instructions to place application identification information (the API key) into any application or service you develop that incorporates or makes use of the API Content.
  • Indicate whether you consent to the use of beacons, cookies, clear gifs or tracking code that may be embedded in API Content.
  • You will abide by the branding guidelines Compassion has published located at www.compassion.com/logos

(iv) In all cases in which you use an API or API Content, you will:

  • Either replace (by re-requesting) or delete all API Content you hold (whether or not published on your website) at least once in every 24 hour period.
  • Where applicable, include a link to the original article or webpage published on CI's website in all API Content published on your website and retain all links to external websites contained within the API Content.
  • If requested, provide us with instructions on how CI may access any application you have developed.

(v) You will not do any of the following:

  • Amend or alter the API Content, distort the meaning of the API Content by association, implication or juxtaposition.
  • Use API Content for any unlawful purpose or in any way that infringes or is likely to infringe the rights (including, but not limited to, intellectual property rights) of the author or any third party.
  • Use headlines from the API Content to create links to any content other than the full text of the underlying article in its original format.
  • Use the API Content or any aspect of our relationship with you in a manner that could, in our reasonable opinion, cause harm to our goodwill, conflict with our values, cause our brand to be brought into disrepute, or imply that your website belongs to, is associated with, or is endorsed by us.
  • Create any script or other automated tool that attempts to create multiple API keys.
  • Use the API Content in any manner or for any purpose that breaches any law or regulation, any right of any person (including, but not limited to, intellectual property or data protection rights), or in any manner inconsistent with the API Terms or Terms of Use.
  • Sell, lease, share, transfer, or sublicense the APIs or API Content or access or access codes thereto or derive income from the use or provision of the APIs or API Content, whether for direct commercial or monetary gain or otherwise, without CI's prior, express, written permission.
  • Use the APIs or API Content in a manner that exceeds reasonable request volume, constitutes excessive usage, or otherwise fails to comply or is inconsistent with any part of the API documentation located within http://developer.compassion.com as determined by CI in its sole discretion.
  • Use the API or API Content in or to create applications that offer or promote services that may compete with, damage, disparage or may otherwise be detrimental to CI or its licencors, licensees, subscribers, affiliates and partners.
  • Use the APIs or API Content in any potentially damaging way, e.g., linking to or using the API Content in connection with any viruses, cancelbot, trojan horses or any other malware or potentially harmful materials or matter.

(vi) Your website will not contain material that is illegal or discriminatory. You understand that the Work is in furtherance of the ministry, mission and corporate purpose of Compassion which is to serve as an advocate for children and to release them from their spiritual, economic, social and physical poverty and to enable them to become responsible and fulfilled Christian adults, and, thus, any conduct inconsistent with that Christian ministry, mission or corporate purpose shall be grounds for immediate termination of this Agreement and termination of your use of the API. Specifically, and intended as examples only and not intended as a limitation, materials produced or conducted by you, your employees and representatives, which are (i) vulgar, (ii) sexually oriented or explicit, (iii) employ, utilize or condone illicit drug usage, (iv) encourage or evidence intoxication, (v) refer directly or indirectly to God in a manner inconsistent with the stated core values of Compassion or (vi) denigrate or exploit the poor or impoverished in our society or any society shall not be permitted at any time during the term of this Agreement and shall be grounds for termination.

(vii) We have the right, in our sole discretion, to refuse to permit your use of the API or API Content with a particular application. Unless we state otherwise, such rejection will not terminate these API Terms with respect to other applications you may have created using different API keys. We shall have no liability to you for such refusal.

3. Making API Content Available to End Users

(i) You may make API Content available to end users of your website strictly for their personal and non-commercial use only. You may not charge a fee for access to API Content. You may not derive or otherwise incur any advertising revenue in connection with the API Content.

(ii) You may not make or give any representations, warranties or other promises in respect of the API Content.

(iii) You are solely responsible for imposing and enforcing appropriate terms (which at least meet the requirements of 3(i) and 3(ii) above) in respect of API Content on end users of your website.

4. Advertising

If requested, you will as a condition of your license to publish API Content, display on your website any advertisement that we supply to you embedded in the relevant API Content.

5. Application Directory

(i) We may maintain a directory of developers using the APIs and/or the applications resulting from developer use of the APIs and API Content ("Product Directory"). Whether or not you or your application is included in the Product Directory is within our sole discretion.

(ii) You grant us a worldwide, royalty free, non-exclusive license to display the trade names, trademarks, service marks, logos, copyright notices, domain names, and other distinctive brands associated with you and your application in accordance with these API Terms for the purpose of promoting or advertising that you use the APIs, API Content or otherwise for inclusion in the Product Directory.

(iii) By using the APIs or API Content you grant us a worldwide, royalty free right and license to link to and reference by name your application in the Product Directory.

6. Privacy and Legal Compliance

(i) At all times you will comply with all privacy laws and data protection obligations applicable to your collection, use and storage of personal information, including but not limited to your own privacy policy.

(ii) You will ensure that your use of the APIs and API Content complies with all relevant local laws and regulations;

(iii) By accepting this agreement, you agree that we will collect personal data from you when you register for an API key. We will use your personal information in accordance with our privacy policy, which forms part of these API Terms. Please read our Privacy and Conditions of Use now. We use that data for the purpose of providing, evaluating, improving and developing our services.

7. Termination

(i) We may cancel or suspend your license to access or use the APIs or API Content at any time, for any period and without notice.

(ii) All rights granted to you herein in Section 2 above shall terminate automatically if:

  • You breach any of the API Terms.
  • We provide written notice to you of such termination or cease providing access to or withdraw the APIs or API Content.
  • We post a written notice of termination on the developer portal, currently at http://developer.compassion.com, or another site provided by an update of these API Terms.

(iii) On suspension or termination of your permission to access the APIs or API Content for any reason, your API license will automatically terminate, and you will immediately cease publication, or other use, of the APIs and all API Content, including all trademark use therein.

(iv) On termination of your permission to access the APIs or API Content for any reason, you will remove immediately all APIs and API Content from your website(s) and delete any remaining API Content in your possession, including all trademark use therein.

8. Our Liability

(i) Your use of, and any reliance on, the API and API Content is entirely at your own risk.

(ii) We hereby exclude liability for indirect, special or consequential damages, even if you have previously advised us of the possibility of such damages. In addition, we will not be liable for any loss of revenue, profits, opportunity or data arising in connection with your access to the APIs or use of API Content.

(iii) We hereby exclude liability for the consequences of any inaccuracy, interruptions or errors in the APIs or API Content. We are not obliged to make any particular API or API Content available to you via the APIs or by any other means.

(iv) We will not be liable in any circumstances to your end users of the APIs or API Content.

9. Disclaimer

(i) APIs may be untested. We make no representation that the APIs or API Content will be available, complete, accurate, uninterrupted, error free or free from viruses or similar. Access to and availability of the APIs or API Content is not guaranteed, nor can we ensure that it will be uninterrupted or error free.

(ii) The APIs and API Content are intended for general information and you are solely responsible for determining whether the APIs or API Content are suitable for your purposes. We make no representation that the APIs or API Content will be legally compliant or otherwise appropriate for your intended use.

(iii) All implied warranties, conditions or other terms are excluded to the fullest extent permitted by law.

(iv) API Content may contain links to websites provided by independent third parties. We are not responsible for the availability or content of such sites and shall not be responsible for any transaction concerning goods or services available from those sites.

10. Rights

Nothing in the API Terms shall operate to transfer to you or create for your benefit any interest (including but not limited to goodwill) in the APIs, API Content, our branding or other logos and trademarks included in the APIs, which shall remain at all times the property of Compassion International.

11. General

(i) Fees

We reserve the right to introduce charges for use of or access to the API and/or API Content in the future. Any such introduction will be notified to you in advance.

(ii) Assignment

Except as expressly set out in the API Terms, you are not permitted to assign, sub-license, transfer or dispose of the rights licensed under the API Terms.

(iii) Waiver

The non-exercise of, or delay in exercise, by us of any power, right or remedy provided by the API Terms or law shall not operate as a waiver of that power, right or remedy. Similarly, any single or partial exercise of by us of a power, right or remedy provided by the API Terms or law shall not preclude any other or further exercise of such. A power, right or remedy will only be waived by us if notified to you in writing.

12. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, United States of America irrespective of conflicts of laws provisions. Venue and jurisdiction of any action regarding this Agreement shall be in the federal court of Colorado or the state courts of the County of El Paso, State of Colorado, United States of America, and each party consents to the jurisdiction of such courts (and of the appropriate appellate courts).
